1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and CS Brands LLC, doing business as ChicScreens ("Company," "we," "us," or "our"), governing your access to and use of the chicscreens.com website (the "Site") and any purchases made through the Site.

By accessing or using the Site, creating an account, or making a purchase, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Site.

Age Requirement: You must be at least 13 years of age to use the Site. By using the Site, you represent and warrant that you are at least 13 years old.

IMPORTANT NOTICE: These Terms contain a binding arbitration provision and class action waiver (Section 13) that affect your legal rights. Please read them carefully.

2. Account Registration

You may browse our Site and make purchases as a guest without creating an account. However, creating an account provides access to additional features such as order history, order tracking, and saved preferences.

When you create an account, you agree to:

Provide accurate, current, and complete information
Maintain and promptly update your account information
Keep your password confidential and secure
Accept responsibility for all activities under your account
Notify us immediately of any unauthorized access or security breach

You may only create one account per person. We reserve the right to suspend or terminate accounts that contain inaccurate information or violate these Terms.

Electronic Communications Consent

By creating an account, making a purchase, or subscribing to our newsletter, you consent to receive electronic communications from us, including but not limited to order confirmations, shipping notifications, account updates, and marketing emails (if you have opted in). You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

You may opt out of marketing communications at any time by clicking the "unsubscribe" link in any marketing email. However, you cannot opt out of transactional communications related to your orders or account.

3. Products and Pricing

We make every effort to display our products accurately. However, we do not guarantee that product descriptions, images, or other content on the Site are accurate, complete, reliable, current, or error-free.

Product images are for illustration purposes and actual products may vary slightly in color due to display settings
We reserve the right to limit quantities of any product
Prices are subject to change without notice
We reserve the right to correct any pricing errors and cancel orders placed at incorrect prices

If a product is listed at an incorrect price due to typographical error or error in pricing information, we have the right to refuse or cancel any orders placed for that product, even if the order has been confirmed and payment processed. If payment has been processed, we will issue a full refund.

4. Orders and Payment

Order Acceptance: Your submission of an order constitutes an offer to purchase. We reserve the right to accept or reject any order for any reason, including but not limited to product availability, errors in product or pricing information, or suspected fraud.

An order confirmation email does not constitute acceptance of your order. Your order is accepted only when we ship the product and send a shipping confirmation.

Payment: Payment is due at the time of order. We accept major credit and debit cards processed through Stripe. By providing payment information, you authorize us to charge the applicable amount to your payment method.

All payments are processed in US Dollars. You are responsible for any applicable taxes, duties, or fees associated with your purchase.

5. Shipping and Delivery

Shipping Area: We currently ship to addresses within the United States only.

Processing Time: Orders are typically processed within 3 business days. Processing time does not include shipping transit time.

Delivery Time: Delivery time depends on the shipping method selected and the destination. Estimated delivery times are not guaranteed.

Risk of Loss: All items purchased from the Site are shipped pursuant to a shipment contract. The risk of loss and title for such items pass to you upon delivery to the carrier.

Shipping Address: You are responsible for providing an accurate shipping address. We are not responsible for orders shipped to incorrect addresses provided by the customer.

6. Returns and Refunds

All Sales Final: All sales are final. We do not accept returns or exchanges for change of mind, incorrect size selection, or buyer's remorse.

Satisfaction Guarantee: We stand behind the quality of our products. If you receive a product with a manufacturing defect or quality issue, please contact us at support@chicscreens.com within 14 days of delivery. We will work with you to make it right, which may include a replacement, store credit, or refund at our sole discretion.

To request assistance under our Satisfaction Guarantee, please provide:

Your order number
A description of the issue
Photos clearly showing the defect or quality issue

7. Custom Products

We may offer custom or personalized products that allow you to upload your own images or designs. The following terms apply to custom products:

Custom products are made-to-order and are non-refundable
By uploading content, you grant us a non-exclusive license to use, reproduce, and display the content solely for the purpose of fulfilling your order
You represent and warrant that you own or have the necessary rights to the content you upload
You agree not to upload content that is offensive, defamatory, obscene, infringing, or illegal

We reserve the right to reject any custom order at our sole discretion, including orders containing content we deem inappropriate.

8. Intellectual Property

All content on the Site, including text, graphics, logos, images, product designs, and software, is the property of CS Brands LLC or its licensors and is protected by copyright, trademark, and other intellectual property laws.

The ChicScreens name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of CS Brands LLC. You may not use such marks without our prior written permission.

You are granted a limited, non-exclusive, non-transferable license to access and use the Site for personal, non-commercial purposes. This license does not include the right to:

Copy, reproduce, or distribute any content from the Site
Modify, create derivative works from, or reverse engineer any content
Use any data mining, robots, or similar data gathering methods
Download any content except as expressly permitted

9. Prohibited Conduct

You agree not to:

Place fraudulent orders or provide false information
Interfere with or disrupt the Site or its servers
Use automated systems (bots, scrapers, spiders) to access the Site
Impersonate any person or entity
Violate any applicable laws or regulations
Harass, threaten, or abuse our staff or other customers
Attempt to gain unauthorized access to any portion of the Site
Use the Site for any unlawful or unauthorized purpose

10. Disclaimer of Warranties

THE SITE AND ALL PRODUCTS ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Site will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Site is free of viruses or other harmful components.

Product images are representative and may not be exact replicas of the actual product. Colors may appear differently depending on your display settings.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CS BRANDS LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SITE OR PURCHASE OF PRODUCTS.

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE PRODUCT(S) GIVING RISE TO THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you.

12. Indemnification

You agree to indemnify, defend, and hold harmless CS Brands LLC, its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

Your use of the Site or purchase of products
Your violation of these Terms
Your violation of any rights of a third party
Any content you upload or submit (including custom product designs)

13. Dispute Resolution & Arbitration

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions.

Binding Arbitration: Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules.

Class Action Waiver: YOU AND CS BRANDS LLC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

Small Claims Exception: Notwithstanding the above, either party may bring an individual action in small claims court if the claim qualifies.

Opt-Out Right: You may opt out of this arbitration agreement by sending written notice to info@chicscreens.com within 30 days of first accepting these Terms. Your notice must include your name, address, and a clear statement that you wish to opt out of the arbitration agreement.

14. Account Termination

We may suspend or terminate your account and access to the Site at our sole discretion, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

For minor violations, we will generally provide a warning before termination. However, we reserve the right to terminate immediately for severe violations, including but not limited to fraud, illegal activity, or harassment.

Upon termination, your right to use the Site will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

15. Third-Party Links

The Site may contain links to third-party websites or services that are not owned or controlled by us. We have no control over, and assume no responsibility for, the content, privacy policies, or practices of any third-party websites or services.

You acknowledge and agree that we shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with the use of any such third-party content, goods, or services.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will notify you by updating the "Last Updated" date at the top of these Terms and, where appropriate, by sending you an email notification.

Your continued use of the Site after any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Site.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding your use of the Site and supersede all prior agreements.

Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

Assignment: We may assign or transfer these Terms, in whole or in part, without restriction. You may not assign or transfer any rights or obligations under these Terms without our prior written consent.

Force Majeure: We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, labor disputes, or government actions.
